Vendor Agreement & Terms of Service

This Pop-Up Vendor Agreement (“Agreement”) is entered into between TAD Enterprises, LLC (“Host”) and the undersigned Vendor.

1. Compliance with Kona Plaza Property Rules
Vendor agrees to comply with all applicable rules, regulations, policies, and requirements of the Kona Plaza AOAO, the property owner/management, and TAD Enterprises, LLC. Violations may result in fines, removal from the premises, or termination of this Agreement. Vendor is responsible for any penalties or damages arising from their actions.

2. Market Hours, Setup, and Breakdown
Market Hours: Monday–Saturday, 8:00 AM–3:00 PM. Vendor may arrive no earlier than one (1) hour before opening and must vacate no later than one (1) hour after closing. Early breakdown is not permitted without Host approval. Overnight storage is permitted for consecutive-day rentals.

3. Space & Amenities Provided
Host grants Vendor a temporary license (not a lease) to use an approximately 8'×8' indoor booth space. Host provides electricity, water access, air conditioning, Wi‑Fi, one table, one parking space (subject to availability), and restroom access.

4. Fees & Payment Terms
Daily Rate: $75 | Weekly Rate: $375 | Monthly Rate: $1,000. Payment due 48 hours in advance. Space is not reserved until full payment is received. Accepted methods: Cash, Check, Zelle, Venmo.
Refund Policy: Cancellation >48 hours: Full refund. Cancellation ≤48 hours: 50% refund. No‑show: No refund. If Host cancels the event, Vendor receives a full refund.

5. Licensing & Insurance
Vendor must maintain a valid Hawaiʻi General Excise Tax (GET) license and comply with all laws. Vendor shall maintain general liability insurance (recommended minimum $1,000,000 per occurrence) and provide proof if requested. Host may require Additional Insured status for higher‑risk activities. Vendor participates at their own risk.

6. Approved Products & Sales Restrictions
Only authentic Hawaiʻi Island–made goods may be sold. No imported, mass‑produced, resale, MLM, counterfeit, or undisclosed items. No restaurant‑style prepared food intended for immediate consumption.

7. Food Vendor Requirements (If Applicable)
Food vendors must comply with Hawaiʻi Department of Health regulations and provide required permits. No open flame or cooking equipment without written approval.

8. Power & Equipment
Vendor supplies cords and equipment. Unsafe connections, generators, or unauthorized power use are prohibited. Host may disconnect hazardous equipment.

9. Conduct & Professional Behavior
Vendor must behave professionally. No aggressive sales tactics, loud music without approval, harassment, or interference with other vendors. Booth must remain staffed during operating hours.

10. Cleanliness & Damage
Vendor must keep the booth clean and remove all trash daily. Vendor is responsible for any damage to property or equipment and may be charged for repairs or cleaning.

11. Marketing Support
Vendor agrees to promote participation when possible and may tag Kona Crafted Market on social media. No promotion of competing events during participation.

12. Force Majeure
Host is not liable for cancellations due to circumstances beyond control, including severe weather, natural disasters, government orders, or safety concerns.

13. Indemnification
Vendor agrees to indemnify and hold harmless TAD Enterprises, LLC, Kona Crafted Market, and Kona Plaza AOAO from any claims arising from Vendor’s products, activities, employees, or customers.

14. Booth Placement
Host controls booth layout and may relocate vendors as needed. No specific location is guaranteed.

15. Tax Responsibility
Vendor is solely responsible for collecting and reporting all applicable taxes, including Hawaiʻi GET.

16. Security Disclaimer
Host is not responsible for loss, theft, or damage to Vendor property.

17. Photography Release
Host may photograph or film Vendor and booth for promotional purposes.

18. Common Area Use and Obstruction
Vendor shall not place items outside the assigned booth area or block walkways, entrances, corridors, or fire lanes.

19. Noise Restrictions
Vendor shall avoid excessive noise, amplified sound, or disruptive behavior.

20. No Smoking Policy
Smoking of any kind is prohibited within the Market space and all Kona Plaza common areas.

21. Hazardous Activities Prohibited
Illegal activities, hazardous materials, explosives, or unsafe equipment are prohibited.

22. Fire & Electrical Safety
Only safe electrical equipment may be used. Open flames and propane devices are prohibited without approval.

23. Waste Disposal
Vendor shall dispose of trash properly and not leave debris in common areas.

24. Safety & Security
Vendor shall not create unsafe conditions, prop open secured doors, or access restricted areas.

25. Parking Compliance
Vendor shall park only in designated areas and comply with all Kona Plaza parking rules.

26. Loading & Deliveries
Vendor shall follow property requirements for loading and unloading and not block driveways or fire lanes.

27. Signage Restrictions
Vendor signage must remain within the assigned booth area unless approved.

28. Respectful Conduct
Vendor shall treat staff, vendors, and customers with professionalism. Disruptive behavior may result in removal.

29. Incident Reporting
Vendor shall immediately report any accident, injury, property damage, or unsafe condition to Host.
