Consignment Agreement & Terms of Service

This Consignment Seller Agreement (“Agreement”) is entered into between TAD Enterprises, LLC (“Host”) and the undersigned Seller.
1. Purpose of Agreement
Host agrees to display and sell Seller’s approved products within Kona Crafted Market on a consignment basis. Seller retains ownership of all items until sold.
2. Consignment Split

Seller receives 70% of the final sale price

Host retains 30% of the final sale price
-
Split applies to all completed transactions (cash or card)
3. Pricing & Product Approval
-
Seller sets retail pricing, subject to Host approval
-
Host reserves the right to:
-
Adjust pricing for market conditions (with notice)
-
Refuse items not aligned with market standards
-

All items must be locally made, artisan-quality, and accurately represented
4. Inventory Management
-
Seller must provide:
-
Itemized inventory list
-
SKU or clear product descriptions
-
Retail price per item
-
-
All inventory must be:
-
Clearly labeled
-
Delivered in sell-ready condition
-
-
Host will track sales through its POS system
5. Sales & Payment Processing

All sales are processed exclusively by Host
-
Host accepts:
-
Credit/debit cards
-
Cash
-
-
Seller may not independently process sales within the market
6. Payment to Seller

Seller payments are issued monthly
-
Payments made by the 5th business day of the following month
-
Payment methods:
-
Check or
-
ACH transfer (preferred)
-
-
Seller will receive a sales report summary with each payout
7. Term & Termination
-
Agreement is month-to-month
-
Either party may terminate with 7 days written notice
-
Host may terminate immediately for:
-
Misrepresentation of goods
-
Policy violations
-
Poor product quality or customer complaints
-
8. Unsold Inventory
-
Seller may:
-
Restock or rotate inventory at agreed intervals
-
Remove items with reasonable notice
-

Upon termination:
-
Seller must retrieve all inventory within 7 days
-
Unclaimed items may be considered abandoned
-
9. Loss, Damage, & Theft
-
Host will take reasonable care of inventory
-
However, Host is not liable for:
-
Theft
-
Damage
-
Loss due to unforeseen circumstances
-

Seller assumes risk unless separate insurance is obtained
10. Seller Responsibilities
Seller agrees to:

Provide accurate product descriptions
-
Comply with all State of Hawaiʻi laws and regulations (including food/product requirements if applicable)

Ensure all products are safe, compliant, and properly labeled
-
Maintain sufficient inventory levels if continuing participation
11. Branding & Marketing

Host may:
-
Photograph and promote Seller’s products
-
Use Seller’s brand name for marketing

Seller grants Host permission for promotional use without additional compensation
12. Independent Contractor Status
Seller is an independent contractor and not an employee, partner, or tenant of Host.
13. Indemnification
Seller agrees to hold harmless TAD Enterprises, LLC from any claims related to:

Product defects
-
Customer injury
-
Regulatory violations
14. Governing Law
This Agreement shall be governed by the laws of the State of Hawaiʻi.
15. Entire Agreement
This document represents the full agreement between Host and Seller and supersedes all prior discussions.
